Terms of Use

1. Acceptance of Terms

By accessing or using EventSquare ("the Platform"), you agree to be bound by these Terms of Use and all applicable laws and regulations. If you do not agree with any part of these terms, you must not use the Platform. These Terms constitute a legally binding agreement between you and Cypher Multi Company LTD®, the operator of EventSquare.

If you are using the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and "you" refers to both you personally and that organisation.

2. About the Platform

EventSquare is a full-featured event ticketing and management platform that allows:

  • Organisers to create events (physical, virtual, or hybrid), set ticket plans, manage attendees, process payments, and withdraw earnings.
  • Attendees to discover events, purchase tickets, receive QR-coded digital tickets, and manage their bookings.
  • All users to maintain a wallet for deposits, ticket purchases, and payouts.

The Platform is operated from Nigeria and primarily serves the Nigerian market, though it is accessible globally.

3. Account Registration & Eligibility

To access ticketing, wallet, and organiser features you must register for an account. You agree to:

  • Be at least 18 years of age (or the legal age of majority in your jurisdiction).
  • Provide accurate, current, and complete registration information.
  • Keep your account credentials confidential and not share your password with any third party.
  • Promptly update your account information if it changes.
  • Notify us immediately at support@eventsquare.online if you suspect unauthorised use of your account.

EventSquare reserves the right to suspend or terminate accounts that violate these Terms, contain false information, or are used for fraudulent purposes.

Two-Factor Authentication (2FA)

We offer TOTP-based Two-Factor Authentication as an additional security layer. You are strongly encouraged to enable 2FA. EventSquare will not be liable for account compromise resulting from failure to enable 2FA where it was available.

Session Management

You can view and revoke individual active login sessions from your account security settings. You are responsible for revoking sessions on devices you no longer control.

4. Membership Tiers & Platform Fees

Every registered organiser is assigned a membership tier that determines the platform service fee deducted from each paid ticket sale. New accounts are automatically assigned the Bronze Member tier upon registration. Tier upgrades are at EventSquare's sole discretion and may be offered through support requests or promotional programmes.

The platform service fee is automatically deducted from each ticket sale before the net revenue is credited to the organiser's EventSquare wallet. Free tickets (₦0 price) are not subject to any platform service fee.

Example: On a ₦10,000 ticket sale by a Bronze Member, EventSquare retains ₦350 (3.5%); the organiser receives ₦9,650 net to their wallet.

5. Events — Organiser Obligations

As an organiser you agree to:

  • Provide accurate event information including title, description, location, date, and time.
  • Update event details promptly if they change, and notify all ticket holders of material changes.
  • Deliver the event as advertised. If the event is cancelled, you must initiate refunds within 7 days.
  • Not publish events for illegal activities, hate speech, or content that violates applicable Nigerian or international law.
  • Comply with all venue rules, health and safety regulations, and applicable permits.

EventSquare reserves the right to reject, unpublish, or remove any event at its sole discretion without notice if the event or its organiser violates these Terms.

Event Approval

All newly created events are submitted for review by EventSquare moderators before being made publicly visible. Approval is typically completed within 24 hours. Events are published only when both the organiser's identity verification is complete and the event passes content review.

6. Identity Verification

To publish events and request fund withdrawals, organisers must complete a two-step identity verification process: (a) verifying their registered phone number via a one-time SMS code, and (b) completing a 3-photo liveness check through the platform's in-app camera. Submitted selfies are reviewed by EventSquare staff, typically within 24 hours.

You must have access to the phone number registered on your account to complete phone verification. The liveness check requires a working camera and must be performed in a well-lit environment. Poor image quality will result in rejection and require resubmission.

EventSquare reserves the right to request additional verification at any time and to hold funds pending satisfactory verification. Accounts that attempt to manipulate or falsify the liveness check will be permanently suspended and reported to relevant authorities.

7. Tickets — Buyer Terms

When you purchase a ticket through EventSquare you enter into a contract with the event organiser, not with EventSquare. EventSquare acts as an agent facilitating the transaction.

  • Ticket prices are set by the organiser and are displayed inclusive of the organiser's chosen currency.
  • Payment is processed via Paystack (card or bank transfer) or your EventSquare wallet balance.
  • Once an order is confirmed and payment is successful, you will receive a confirmation email with your digital ticket and PDF download link.
  • Tickets are valid for the named event only. Resale, transfer, or duplication of tickets without organiser consent is prohibited.
  • EventSquare is not liable for event cancellations, postponements, or changes made by the organiser.

Ticket Plans

Events may offer multiple ticket categories (e.g., VIP, Early Bird, General Admission, Free). Each plan has its own price, quantity, availability window, and maximum per-user purchase limit set by the organiser.

8. QR Codes & Digital Tickets

Each ticket issued through EventSquare carries a unique cryptographic QR code in the format EVENTSQUARE:<uuid>:<salt>. This code is used for event entry validation.

  • Do not screenshot and share your QR code. Each code can only be scanned once; the first scan marks the ticket as checked in.
  • A PDF version of your ticket (with the embedded QR code) is available for download from your account at any time.
  • Event organisers can scan tickets using the EventSquare mobile QR scanner — a camera-based, real-time WebSocket validation tool accessible from the organiser dashboard.
  • EventSquare is not responsible for denied entry resulting from a shared, duplicated, or screenshot QR code.

9. Promo Codes & Discounts

Organisers may create promo codes for their events. Promo codes may offer a percentage discount, a fixed amount off, or a fully free ticket. Codes are subject to usage limits, per-user limits, and expiry dates set by the organiser.

  • Promo codes are single-use per order unless stated otherwise.
  • Platform service fees are calculated on the post-discount ticket price.
  • EventSquare is not responsible if a promo code expires, reaches its usage limit, or is discontinued by the organiser.
  • Abusing promo codes (e.g., creating fake accounts to exceed per-user limits) is a prohibited activity and may result in account termination.

10. Wallet, Deposits & Withdrawals

EventSquare provides each registered user with an integrated digital wallet denominated in the user's account currency.

Deposits

Funds can be deposited into your wallet via Paystack (debit/credit card or bank transfer). Deposits are credited to your wallet balance upon Paystack payment confirmation. EventSquare is not responsible for deposit failures caused by your bank or card issuer.

Withdrawals (Nigeria)

Withdrawal requests for Nigerian accounts are processed via Paystack Transfers to your registered bank account. Withdrawals are subject to the following fees, which are charged on top of the requested withdrawal amount:

Stamp duty of ₦50 is a statutory charge mandated by the Central Bank of Nigeria for electronic transfers exceeding ₦10,000. This fee is not collected by EventSquare but is passed through to the banking infrastructure.

Withdrawal Approval

All withdrawal requests are subject to review and approval by EventSquare within 1–3 business days. EventSquare reserves the right to hold funds pending identity verification or investigation of suspected fraudulent activity. If a withdrawal is rejected, the full amount (including any reserved fees) is immediately credited back to your wallet balance.

11. Refunds & Cancellations

EventSquare's refund policy operates as follows:

  • Refunds are only available if the event organiser has enabled refunds for the event or if the event is cancelled by the organiser.
  • Buyers may submit a refund request from their "My Tickets" page. The request is first reviewed by the organiser, then approved or rejected by EventSquare staff.
  • Approved refunds are credited to the buyer's EventSquare wallet, not to the original payment method, unless otherwise required by law.
  • Platform service fees are non-refundable in all cases.
  • EventSquare is not responsible for partial or non-attendance at an event — no refund will be issued on that basis.

12. Location Services

The EventSquare homepage can show nearby events based on your device's location. This feature is entirely optional and requires your explicit permission.

  • Device GPS — if you click "Enable Location" or allow the browser permission prompt, your device's precise GPS coordinates are sent to our servers. We use these coordinates solely to reverse-geocode your city (via OpenStreetMap Nominatim) and return nearby events. We do not store your GPS coordinates beyond the duration of the request.

You can decline the GPS permission request at any time. Your location preference is stored in your browser's local storage and will not re-prompt you after dismissal. You can reset this preference by clearing your browser's site data.

13. Real-Time Chat & Notifications

Support Chat

EventSquare provides a live WebSocket chat feature that connects you directly with a support agent. Chat sessions are recorded and stored for quality assurance and dispute resolution purposes. Do not share sensitive personal or financial information (such as full card numbers or passwords) in the chat.

In-App Notifications

EventSquare sends in-app notifications for key account events (ticket purchase, refund status, deposit confirmation, withdrawal update, event reminders). Notifications are delivered in real time via WebSocket where your browser is connected, and are stored in your account for later review. You can mark notifications as read or clear your notification history from the notifications page.

Email Notifications

By registering for an account you consent to receiving transactional emails including ticket confirmations, receipts, and account security alerts. These emails are necessary for the operation of the Platform and cannot be opted out of. Promotional and marketing emails (if any) will include an unsubscribe link.

14. REST API & Third-Party Integrations

EventSquare exposes a REST API at /api/v1/ documented at /api/docs/. Access to the API requires JWT authentication. By using the API you agree to:

  • Not exceed reasonable request rate limits.
  • Not use the API to scrape, harvest, or index content in bulk for commercial redistribution.
  • Protect your API tokens and rotate them promptly if compromised.
  • Only access data belonging to your own account unless you have explicit organiser consent.

EventSquare integrates with the following third-party services whose own terms and privacy policies apply: Paystack (payments), OpenStreetMap Nominatim (GPS reverse geocoding).

15. Prohibited Activities

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
  • Create fraudulent events or sell tickets for events you do not intend to deliver.
  • Use another user's account or impersonate any person or entity.
  • Circumvent, disable, or interfere with security-related features of the Platform, including 2FA and CSRF protection.
  • Conduct denial-of-service attacks or otherwise degrade the availability of the Platform.
  • Upload, transmit, or distribute viruses, malware, or any other malicious or harmful code.
  • Harvest, collect, or store personal information of other users without their express consent.
  • Use automated bots, scrapers, or crawlers to access the Platform except through the published API.
  • Resell, transfer, or broker tickets through channels other than the official EventSquare checkout.
  • Launder money or use the wallet for transactions unrelated to legitimate event ticketing.
  • Abuse promo codes, referral bonuses, or promotional credits through the creation of fake accounts.

Violation of any of the above may result in immediate account suspension, forfeiture of wallet balance, and referral to law enforcement where applicable.

16. Intellectual Property

The Platform, including its design, code, trademarks, brand marks, and content, is the exclusive property of Cypher Multi Company LTD® and its licensors. All rights are reserved.

Content uploaded by organisers (event banners, descriptions, logos) remains the intellectual property of the organiser. By uploading content, you grant EventSquare a non-exclusive, royalty-free, worldwide licence to display and reproduce that content solely for the purpose of operating the Platform (e.g., displaying event listings, generating thumbnails, sharing preview images).

You may not use EventSquare trademarks, logos, or brand assets without our prior written consent.

17. Limitation of Liability

To the fullest extent permitted by applicable law, EventSquare, its directors, employees, partners, agents, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from:

  • Your access to or inability to access the Platform.
  • Any conduct or content of any third party on the Platform.
  • Any event cancellation, postponement, or change made by an organiser.
  • Unauthorised access to or alteration of your account resulting from your failure to maintain password security or to enable 2FA.
  • Payment failures caused by your bank, card issuer, or network conditions.
  • Loss of data, wallet balance, or revenue resulting from force majeure events, including but not limited to power outages, natural disasters, or government-mandated shutdowns.

EventSquare's maximum aggregate liability to you for any claim arising out of or relating to the Platform shall not exceed the total fees paid by you to EventSquare in the three months preceding the event giving rise to the claim.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria, unless otherwise required by applicable consumer protection law in your jurisdiction.

19. Changes to These Terms

EventSquare reserves the right to modify these Terms at any time. We will notify registered users of material changes by updating the "Last updated" date at the top of this page and, where the changes significantly affect your rights, by sending an email notification to your registered address. Your continued use of the Platform after any changes take effect constitutes your acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Platform and may request account deletion by contacting support.
